TCA is a public company established under the Corporations Act (Cth) and our Constitution provides for nine Members, which comprise the Australian Government and State and Territory Road Agencies.

TCA has a Board of Directors which is responsible for its overall governance. The Board comprises of a Chairperson and up to nine other Directors. Each Member is entitled to nominate a Director (and an alternate) and other than the Chairperson, each Director must be nominated by a Member. The Directors appoint the Chairperson. The Board sets the Strategic Direction of TCA, with the support of the Chief Executive Officer, and oversees operational performance.

The Chief Executive Officer is responsible for the day-to-day management of the TCA.

The business structure of a company limited by guarantee established under the Corporations Act was chosen because it provided the ability to facilitate cross jurisdictional membership and the necessary rigour in the governance arrangements to certify, audit and as necessary cancel the certification of service providers who operate on a national level.

The Board has a program of on-going evaluation and development. This includes matching Board needs to Directors' expertise; aimed at delivering a well rounded membership.
